1. Service Description

ExcelToWeb.app ("we," "us," "our") provides a professional service that converts Microsoft Excel spreadsheets, Google Sheets, and similar file formats into custom-coded web applications. Our service includes:

• Analysis of your Excel file to identify formulas, logic, and workflows.
• Development of a custom web application that replicates the spreadsheet's functionality.
• Delivery of clean, documented source code and/or a deployed web application.
• A revision period to ensure the web application matches your requirements.

2. Client Responsibilities

By engaging our services, you agree to:

• Provide accurate files: Share the correct version of your Excel file with all required sheets, formulas, and sample data.
• Communicate requirements: Clearly describe any functionality, design preferences, or constraints not evident from the Excel file.
• Timely feedback: Respond to questions and review deliverables within a reasonable timeframe to avoid project delays.
• Ownership of content: Confirm that you own or have the right to use the content in any Excel file you submit for conversion.

3. Intellectual Property Rights

Your content: You retain full ownership of all data, formulas, business logic, and content contained in your original Excel files.

Delivered code: Upon full payment, all custom code written specifically for your project is transferred to you. You receive full ownership and may modify, distribute, or resell the application as you see fit.

Our tools: We retain ownership of any proprietary tools, libraries, or frameworks we have developed independently that may be used in the course of building your application. These are licensed to you for use within your delivered project.

4. Quotes, Payment & Refunds

• Free quotes: All project quotes are provided free of charge with no obligation.
• Fixed pricing: Once a quote is accepted, the price is fixed unless the project scope changes materially.
• Payment schedule: Payment terms are agreed upon before work begins, typically a deposit before development and the balance upon delivery.
• Refund policy: If we are unable to deliver the agreed-upon functionality, you are entitled to a full refund of any payments made. Refunds are not available for completed work that meets the agreed specifications.

5. Revisions & Support

Each project includes a revision period (typically 7-14 days after delivery) during which we will make adjustments to ensure the application matches the agreed-upon specifications. Changes to project scope or new feature requests beyond the original specification may incur additional charges, quoted in advance.

6. Confidentiality

We treat all client files and project details as confidential. We will not share your Excel files, business logic, or proprietary data with any third party. Upon request, we are happy to sign a Non-Disclosure Agreement (NDA) before you share sensitive files.

7. Limitation of Liability

ExcelToWeb.app provides web applications "as built" according to the agreed specifications. While we strive for 100% accuracy in replicating your Excel file's calculations:

• We are not liable for business decisions made based on the output of the web application.
• Our total liability is limited to the amount paid for the specific project in question.
• We are not responsible for losses arising from incorrect data provided in the original Excel file.

8. Project Cancellation

Either party may cancel a project at any time. In the event of cancellation:

• You will be charged only for work completed up to the point of cancellation.
• Any completed portions of the application will be delivered to you.
• Unused deposits will be refunded within 14 business days.

9. Governing Law

These terms are governed by applicable law. Any disputes arising from these terms or our services will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration.

10. Changes to These Terms

We may update these terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our service after changes constitutes acceptance of the new terms.
